StockSimple ("the Service") is operated by Ricardo Knight, a sole proprietor trading as StockSimple ("we", "us", "the Seller"). You can reach us at StockSimpleSales@outlook.com. By creating an account or continuing to use the Service, you agree to these Terms. If you use the Service on behalf of a business, you confirm you have authority to bind that business.

StockSimple is a subscription inventory management application. It lets you track products, stock levels, locations, suppliers, purchase orders and stock movements. Features available to you depend on the subscription plan you select. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account.

You must not misuse the Service. This includes, without limitation:

• Using the Service for any unlawful purpose, fraud or spam;
• Infringing the intellectual property rights of others;
• Introducing malware, probing or testing vulnerabilities, or scraping the Service;
• Reverse engineering, reselling or redistributing the Service, or circumventing plan limits.

We retain all ownership of the Service and its intellectual property, including the software, documentation and branding. You retain ownership of the data you enter. You grant us a limited licence to host and process your data solely to provide the Service.

Paid plans are billed through our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms). Subscriptions renew automatically until cancelled. New accounts may receive a free trial. At the end of the trial, continued access to paid features requires a paid subscription. If you do not subscribe, your account becomes read-only; your data is not deleted.

We do not guarantee that the Service will be uninterrupted or error-free. The Service is provided "as is" and we disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.

To the fullest extent permitted by law, we are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death or personal injury where required by law.

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. When access ends, your data remains available in read-only form for a reasonable period so you can export it; contact us at StockSimpleSales@outlook.com if you need help.

These Terms are governed by the laws of South Africa. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for failures caused by events beyond our reasonable control. If any clause is found unenforceable, the rest remain in effect. We may update these Terms from time to time; continued use after changes constitutes acceptance.

You are responsible for the data you enter and for having a lawful basis to enter personal data about others. Our Data Processing Agreement forms part of these Terms, and our providers are listed on the Subprocessors page. You should keep your own exports of business-critical records; stock values and reports are tools to support, not replace, your own accounting and tax advice.

You may not use the Service if you are located in, or are a resident or national of, a country or region subject to comprehensive UN, US, EU or UK sanctions, or are listed on any applicable restricted-party list. You must not use the Service in breach of export control laws.

If you believe content uploaded to the Service (such as a product photo) infringes your copyright, email StockSimpleSales@outlook.com with the work, its location, your contact details and a good-faith statement. We will remove infringing content and may terminate repeat infringers.

The Service is intended for business use. Nothing in these Terms limits any mandatory rights you have under the consumer law of your country of residence.
